Actually, a foreign resident can legally incorporate in US states, with 100% shares allocated to him. The corporation is required to maintain a in-state "register agent" which can be any residents, lawyers and corporations, and pay franchise fee.

Many "Silicon Vally" companies only have a PO Box there.
